Transactional

Sheley & Hall, P.C. primarily represents two types of clients with respect to transactional matters: larger institutional clients, such as Hines, GE Asset Management and UBS Realty Investors, in the acquisition and disposition of office, retail, hotel and industrial properties, and smaller entrepreneurial clients with respect to the development of projects in all product types, from land acquisition through the ultimate sale of real estate assets.

 

Based on the new landscape of commercial real estate, our attorneys handled a wide range of alternative and creative matters in 2009, including loan restructures (from either the lender's or borrower's perspective) and acquisition of debt instruments (through auction sites such as DebtX™ and other avenues).

 

Regarding traditional transactions, our attorneys and staff handle all aspects of transactional matters, from original contract negotiation through debt and equity structuring and venture structuring through closing. Given our leasing background, Sheley & Hall routinely handles the due diligence review of multiple leases associated with office building acquisitions and has the ability to manage large or multiple acquisitions simultaneously.

 

We are well versed in all aspects of such transactions including the use of Section 1031 tax free exchanges, UBIT issues and public and private partnerships. We work closely with each client, consulting with general counsel, tax counsel or accountants as needed, and take pride in our ability to predict and swiftly respond to the dynamic nature of complex transactions.

 

Sheley & Hall offers special expertise in the following areas:

 
  • "PILOT" bond transactions and other public/private partnership transactions.
  • Hotel transactions, having negotiated several hotel management and related technical services agreements.
  • Negotiation of operating agreements and joint venture agreements.
  • Complex Section 1031 transactions including “construction “ or “parked” exchanges, use of wholesale/retail sales entities, and tenancy-in-common entities (TICs).

  • Representation of a private investor in the sale of a class “A” office building in Coral Gables, Florida.
  • Representation of Atlanta developer in connection with multiple developments including a two-hotel project with connectivity two Hartsfield-Jackson International Airport and a two-hotel project in Orlando, Florida.
  • Representation of UBS Investors in connection with an industrial building.
  • Representation of Grove Street Partners in connection with the sale of two industrial projects.
